Terms and Conditions — NapsixB2B

1. Acceptance of the Terms

By accessing, registering for, or using Napsix ("the Platform"), you accept these Terms and Conditions, which govern the use of the agentic B2B platform, the industrial marketplace, and integrations with third-party services (including Tiendanube/Nuvemshop, Shopify, Gmail, HubSpot, Slack, and over 1,000 other apps available through Composio).

If you install the Xia by Napsix application from the Tiendanube/Nuvemshop App Store, you also accept these Terms as a precondition for the OAuth connection and for the use of any functionality that operates on your store.

2. Purpose

Napsix is a global agentic B2B platform that combines (a) an industrial marketplace, (b) artificial intelligence agents (XIA Agents) that operate SaaS and e-commerce integrations through natural language, and (c) embedded finance tools. We operate in Argentina, Brazil, Mexico, Colombia, Chile, Peru, Uruguay, the United States, and the rest of the world.

3. Registration and Account

To operate on the Platform, you must register by providing accurate information, including your legal business name and local tax identification (CUIT in AR, CNPJ in BR, RFC in MX, NIT in CO, RUT in CL, EIN in the USA, etc.).
You are responsible for keeping your account and the OAuth credentials you connect to Napsix confidential.
Napsix reserves the right to suspend accounts that breach these terms or the policies of integrated platforms (Tiendanube, Shopify, etc.).

4. Listings and Transactions

Users are responsible for the accuracy of their listings, the products published in their Tiendanube/Nuvemshop store, and any content generated through XIA agents.
Napsix acts as a technology intermediary and is not a party to the commercial transactions between the merchant and its end customers.
Published prices are for informational purposes only unless expressly stated otherwise.

5. Liability

Napsix does not guarantee the quality, legality, or availability of the products or services published by users.
Napsix is not responsible for interruptions, errors, or data losses caused by integrated third-party platforms (Tiendanube/Nuvemshop, Shopify, Google, Meta, etc.), whose use is governed by each provider's terms.
XIA agents may perform actions on your store according to the OAuth permissions you approve. You are responsible for reviewing and approving high-risk actions (e.g., deleting products, canceling orders), which require manual confirmation.
Each party is responsible for complying with the regulations applicable to its activity (tax, labor, data protection, consumer law).

6. Intellectual Property

All content on the Platform (design, logos, code, the "Xia by Napsix" brand, system prompts) is the property of Napsix Corp (Delaware, USA) and Napsix S.A.S. (Argentina) and is protected by applicable intellectual property laws. Third-party trademarks (Tiendanube, Nuvemshop, Shopify, etc.) are the property of their respective owners and are used solely to indicate compatibility.

7. Jurisdiction

For users domiciled in Argentina: these terms are governed by the laws of the Argentine Republic, with jurisdiction in the ordinary courts of the Autonomous City of Buenos Aires.
For users outside Argentina: these terms are governed by the laws of the State of Delaware (USA), with jurisdiction in the courts of New Castle County, Delaware.
In both cases, the parties agree to first attempt an amicable resolution before resorting to legal action.

8. User Feedback and Suggestions

The Platform includes a unified feedback feature through XIA Assistant where users can submit bugs, ideas, suggestions, and general reports ("Feedback Content").

By submitting Feedback Content, the user grants Napsix a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, and implement such Content in any Napsix product or service, with no obligation of compensation.
Napsix may publish the feedback on a public roadmap within the Platform. The user's identity is NOT exposed (only the content edited by the team). The user may request the deletion of a specific submission by writing to privacy@napsix.ai.
The user is responsible for not including confidential or sensitive information in the Feedback Content. If the feedback originates from a conversation with XIA Assistant, that conversation is associated with the report and is visible to Napsix administrators (NOT to other users).
Napsix does not guarantee the implementation of any suggestion. Roadmap decisions are discretionary.
Votes on public roadmap items are indicative and do not create any commitment by Napsix to implement them.

9. Third-Party Integrations and E-commerce Applications

The Platform includes native integrations and integrations through Composio with third-party services, including (but not limited to):

E-commerce: Tiendanube/Nuvemshop, Shopify.
Messaging: WhatsApp Business (via Kapso), Gmail, Slack.
CRM and productivity: HubSpot, Google Drive, Notion, Sheets.
AI and AI Gateway: Anthropic, OpenAI, Google Gemini, AWS Bedrock.

9.1 Connection and Revocation

When you connect an OAuth integration, you grant Napsix explicit permissions (scopes) to access certain data in your account on the third-party service. Tokens are stored encrypted in Supabase Vault and are never visible from the frontend. You may revoke any integration at any time from /dashboard/xia-agents/integrations or by uninstalling the app from the provider's admin (e.g., the Tiendanube admin).

9.2 Tiendanube / Nuvemshop Specifically

The Xia by Napsix application is approved in the Tiendanube App Store (App ID 32657). By installing the app, you also accept the Tiendanube/Nuvemshop Terms and Conditions, and you acknowledge that:

Napsix receives the mandatory GDPR webhooks (app/uninstalled, store/redact, customers/redact, customers/data_request) and processes them as described in section 14 of our Privacy Policy.
When you uninstall the app from the Tiendanube admin, we automatically revoke the tokens and delete the data associated with your store within 30 days.
The actions that the XIA agent performs on your store are operations of the merchant (you), not of Napsix. You are responsible for reviewing the automations you configure.
Destructive actions (deleting products, canceling orders, deleting coupons, scripts) require manual confirmation by the user BEFORE they are executed — Napsix keeps them in an approval queue until you approve them.

9.3 Operational Compliance

Napsix is committed to complying with the operational policies of each integrated platform, including API limits, webhook format, privacy requirements, and transparency obligations. If Tiendanube/Nuvemshop or another platform updates its terms, Napsix will adapt the integration within a reasonable timeframe.

10. Reseller and Affiliate Program

Napsix offers an optional reseller (affiliate) program through which a registered user may recommend the Platform and earn cash commissions. Participation is free and is activated by accepting these terms from the user dashboard.

The reseller participates as an independent contractor. There is no employment, partnership or agency relationship with Napsix. The reseller is solely responsible for their tax, social-security and invoicing obligations under the applicable jurisdiction.
Customer attribution is done through the reseller's personal referral code. Only customers who subscribe to and pay for a Business or Enterprise plan, having been referred with that code, generate a commission.
The commission is a recurring percentage (rev-share) of each payment actually received by Napsix from that customer, on an ongoing basis while the customer remains active. The rate is determined by tiers based on the number of active referred customers and may be modified by Napsix with reasonable notice.
Commissions are held for a retention period (currently 30 days) before becoming available. If the customer cancels, requests a refund or reverses the payment within that period, the associated commission is voided (clawback). Already-approved or paid commissions are not reversed retroactively.
For Business/Enterprise customers referred by an active reseller, the cash commission replaces the credit reward of the general referral program (both are not paid for the same conversion).
Payouts are made manually, subject to a minimum amount (currently USD 50), by bank transfer or cryptocurrency, according to the payout details the reseller provides. Such details are stored encrypted (Supabase Vault).
Spam, misleading advertising, impersonation, self-referrals or any fraudulent practice are prohibited. Napsix may suspend or terminate a reseller, withhold or void commissions, and modify or discontinue the program in case of breach or at its reasonable discretion.
The program does not guarantee any level of income. Commissions depend solely on referred customers who actually pay for eligible plans.

11. Modifications to these Terms

We reserve the right to update these Terms. We will notify you of significant changes by email at least 30 days in advance. Continued use of the Platform after the modification implies acceptance.
